Navceed Terms of Service
Last updated: October 18, 2026
1. Who we are
Navceed is a service run by Morrowbase LLC, a California limited liability company ("we", "us"). You can reach us at contact@navceed.com.
These terms are an agreement between us and the business or organization you use Navceed for ("Customer", "you"). By creating an account or using Navceed, you confirm that you are at least 18, that you are using Navceed for business, and that you have authority to accept these terms for that organization.
2. What Navceed does
You describe a workflow in plain words. Navceed builds it, runs it and watches it, and tells you when something needs a person. New accounts start with a sample workspace that holds a made-up company only. Connections to your own tools will be added over time. Each connection is read-only unless a person turns on a write path for that tool.
3. Your account
- You sign in with a one-time code sent to your email. Keep access to that email address secure.
- You are responsible for what happens under your account and in workspaces you administer, including whom you invite.
- Tell us right away at contact@navceed.com if you think someone has used your account without permission.
- One person, one account. Don't create accounts by automated means or to get around limits.
4. Acceptable use
You agree to follow the Acceptable Use Policy at navceed.com/acceptable-use, which is part of these terms. In short: don't break the law, the terms of the tools you connect, or the limits and protections of Navceed itself.
5. Your data
- You own your data. "Customer Data" means what you or your users put into Navceed or let Navceed read from your connected tools, plus the workflows and results built from it.
- Our limited use. We use Customer Data only to run, secure and support Navceed for you, and when the law requires us to. We do not sell it, we do not use it for advertising, and we do not use it to train AI models. Our staff look at Customer Data only to support you, to investigate abuse or a security issue, or when the law requires it.
- Your rights to the data. You confirm that you have the rights and permissions needed to put Customer Data into Navceed and to let Navceed read it from your tools, and that doing so doesn't break any law, contract or notice you have given to the people the data is about (for example, employee monitoring notices where those apply).
- Privacy. Our Privacy page at navceed.com/privacy explains what we collect about the people who use Navceed and how. That page also lists the companies that process data for us.
6. Other companies' services
- Navceed runs on services from other companies, listed on our Privacy page (https://navceed.com/privacy): Microsoft Azure (hosting and database, United States), Clerk (sign-in) and Anthropic (the Claude AI model, used to plan and explain work). We pass them only what they need to do their part.
- Tools you connect (your CRM, marketing or engagement tools, and others) are run by their own vendors under their own terms. You are responsible for having the right to connect them and for following their terms. We are not responsible for those tools, their outages or their changes.
7. AI output, approvals and changes in your tools
- Navceed uses AI to plan, explain and diagnose workflows. AI output can be wrong. Factual statements in plans, explanations or diagnoses should not be relied on without checking them.
- Every change Navceed would make in one of your tools needs the approval of the person who owns that data. The approval is tied to exactly what was shown. Navceed doesn't make that change without it. Approving is your decision, and you are responsible for the changes you approve and the results. Where a tool allows it, Navceed can undo a change it made.
- Navceed is not built for decisions about individuals' employment, credit, insurance, housing, health or legal rights. Don't use it for them.
8. Fees
Navceed is free while it is in early access. If we introduce paid plans, we will tell you the price and terms before you are charged, and you will not be charged without agreeing.
9. Early access; no warranty
Navceed is in early access. Features may change, break or go away, and we may limit usage (for example, daily caps on AI requests or sign-ups). TO THE EXTENT THE LAW ALLOWS, NAVCEED IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. We don't promise that Navceed will be uninterrupted, error-free or that its output will be correct.
10. Limitation of liability
TO THE EXTENT THE LAW ALLOWS: (a) NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE OR DATA, EVEN IF WARNED THEY WERE POSSIBLE; AND (b) OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO NAVCEED IS LIMITED TO THE GREATER OF THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AND US $100. These limits don't apply where the law doesn't allow them to (for example, under California Civil Code ยง1668, for fraud, willful injury or violation of law).
11. Suspension
We may suspend or limit an account, a workspace or a connection, with or without notice, if we reasonably believe it (a) breaks these terms or the Acceptable Use Policy, (b) puts Navceed, other customers, a connected tool or anyone else at risk, (c) is needed to follow the law or a vendor's requirement, or (d) is unpaid once fees apply. Where it is safe and lawful, we will tell you why and how to fix it, and restore access once it is fixed.
12. Ending the agreement; deletion
- You can stop using Navceed at any time. Ask us at contact@navceed.com and we will delete your account and everything in the workspaces you own within 30 days, except for short-lived backups and logs that expire on their own schedule (see the Privacy page, https://navceed.com/privacy), and records the law requires us to keep.
- We may end these terms or close Navceed, with at least 30 days' notice by email where reasonable (or right away under section 11). Before we delete your data, we'll give you a reasonable chance to export what Navceed can export.
- Sections 5 (your rights to the data), 7, 9, 10, 13 and 14 survive the end of these terms.
13. Feedback and our service
Navceed, its software and its content (other than Customer Data) belong to us. If you send us ideas or feedback, we may use them without owing you anything. You won't copy, resell or reverse-engineer Navceed, or use it to build a competing product.
14. Changes to these terms
We may update these terms. For changes that materially reduce your rights, we will give you at least 30 days' notice by email or in the product before they take effect. If you keep using Navceed after a change takes effect, the new terms apply; if you don't agree, stop using Navceed and ask us to delete your data.
15. Governing law and general terms
- These terms are governed by the laws of the State of California, without regard to its conflict-of-law rules. Disputes will be heard in the state or federal courts located in San Joaquin County, California, and both parties consent to their jurisdiction.
- If part of these terms can't be enforced, the rest still applies. Not enforcing a term is not a waiver. You may not transfer these terms without our consent; we may transfer them as part of a merger, acquisition or sale of the business. These terms, the Acceptable Use Policy and any order form are the whole agreement about Navceed.
